Service agreements, payment terms, and conditions for security consulting services

These Terms of Service ("Terms") constitute a legally binding agreement between you and Zyenra Security regarding your use of our cybersecurity consulting services and website. By engaging our services or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Services

Zyenra Security provides comprehensive cybersecurity consulting services including but not limited to:

  • Vulnerability assessments
  • Penetration testing
  • Security consulting and advisory services
  • Custom exploit development and verification
  • Compliance audits and gap analysis
  • Security training and education programs

All services are provided under separate written service agreements that explicitly detail the scope of work, project timeline and milestones, payment terms and conditions, confidentiality obligations, and liability limitations.

2. Payment Terms

Payment terms are specified in individual service agreements. Standard terms typically include payment upon contract execution and upon completion of services, though terms may vary based on project scope and client requirements. Net 30 payment terms may be available for established clients. All prices are quoted in United States Dollars (USD) unless otherwise specified in writing.

Late payment fees may apply to overdue amounts as specified in the service agreement. Services may be suspended for accounts with outstanding balances exceeding the agreed payment terms.

3. Confidentiality

Zyenra Security maintains the highest standards of confidentiality regarding all client information, security assessment results, business processes, proprietary information, and any sensitive data disclosed during the course of our engagement. All engagements are covered by comprehensive non-disclosure agreements (NDAs) that remain in effect indefinitely. We implement strict data protection measures and limit access to confidential information on a need-to-know basis only.

4. Intellectual Property

Clients retain full ownership and control of their systems, data, and intellectual property. Zyenra Security retains all rights to our proprietary methodologies, tools, techniques, and knowledge base developed through our experience. All reports, deliverables, and work products are provided to the client for their exclusive use, with no transfer of intellectual property rights. Any improvements or modifications made to client systems during our engagement remain the property of the client.

5. Liability

Zyenra Security's total liability for any claims arising from our services is strictly limited to the total amount paid by the client for the specific services giving rise to the claim. We expressly disclaim liability for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business interruption, or third-party claims. In no event shall our liability exceed the total fees paid for the services in question.

6. Professional Standards

Zyenra Security adheres to the highest professional standards and industry best practices, including responsible disclosure practices, ethical hacking principles, and legal compliance requirements. We follow established frameworks such as OWASP guidelines, NIST Cybersecurity Framework, and maintain professional certifications. All security assessments are conducted with the utmost professionalism and respect for client systems and data.

7. Termination

Either party may terminate services with thirty (30) days written notice, except in cases of material breach which may result in immediate termination. Termination does not affect payment obligations for completed work, ongoing confidentiality obligations, intellectual property rights, or liability limitations. Upon termination, all confidential information must be returned or destroyed as specified in the applicable NDA.

8. Force Majeure

Zyenra Security shall not be liable for any delays, failures, or inability to perform services due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, government actions, network outages, third-party service failures, or other force majeure events. In such cases, we will make reasonable efforts to resume services as soon as practicable.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction where services are provided, or as specified in individual service agreements. Any disputes arising from these Terms or our services shall be resolved through binding arbitration or in the courts of competent jurisdiction, as specified in the applicable service agreement. The prevailing party in any legal proceeding shall be entitled to recover reasonable attorney's fees and costs.

10. Changes

Zyenra Security reserves the right to modify these Terms at any time. Material changes will be communicated to clients with thirty (30) days notice. Continued use of our services after the effective date of any modifications constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
